Corporate Law Project - Jurisdiction: Italy
In Italy, the relationship between human rights and business has historically been one of voluntary compliance and best practice...[The] Italian legislator has tended to avoid imposing binding obligations...[The] few hard-law instruments under Italian legislation include certain provisions of the Italian Constitution, the Italian civil code, Italian tort law, as well as Italian labour, environmental and consumer protection laws. The main soft-law mechanisms used in Italy include...the CSR project promoted by the Italian Ministry of Labour and Social Affairs [and] the corporate governance code for listed companies...[D]irectors' duties are generally owed to: the company (and the company's shareholders...),...creditors, individual shareholders, and third parties...Italian corporate and securities legislation does not contain provisions which clearly set out CSR duties and obligations...Italian corporate law requires companies to include in their annual financial statements information relating to environmental and employment matters, to the extent necessary for an understanding of the position, development and results of the company.
